General terms of sale
The following general terms and conditions of sale ("Terms and Conditions") apply to all sales of SIGNYS ("Supplier") made to the purchasers of its goods ("Buyer"), and each contract entered into or any other undertaking by the Supplier is expressly conditional upon acceptance of these terms and conditions by the buyer.
1. Acceptance of Orders
The placing of your order constitutes an offer to buy the goods from the supplier, and confirmation of the order by the supplier constitutes an acceptance of the buyer's order. The supplier order confirmation includes a web link to these terms and conditions and incorporates by reference the general terms and conditions into the purchase agreement between the buyer and the supplier. An offer or a quotation sent to the buyer by the supplier does not constitute an offer to sell and no contract will ensue under any circumstances as long as the buyer has not sent an order to the supplier and the supplier has not confirmed the order in writing to the buyer.
2. Prices
- Unless otherwise stated in writing, prices correspond to ex-factory prices.
- The prices mentioned on our website and other promotional materials are provided for information purposes only.
- The discounts granted to the purchaser will not necessarily apply in the event of a subsequent price decrease. Discounts may be used in conjunction with other promotions or rebate offers only with the agreement of the supplier.
3. Payment
- Unless otherwise agreed in writing, payment is made in cash at the time of the on-line purchase transaction. Organizations or companies wishing to obtain a period of 30 days net from the date of the invoice may submit their request by e-mail, telephone or postal mail. After acceptance by our credit insurer, a confirmation of this payment period will be transmitted to the buyer and transcribed in its customer conditions for subsequent purchases. The first purchase will always be made in cash and online.
- Within the European Union, interest will be applied to outstanding balances at the maximum rate defined by the national regulations, in accordance with provisions laid down by the European directives governing late payments in commercial transactions. Outside the European Union, interest will be charged on the lesser of: 10% per annum or the maximum rate permitted by law.
- The buyer cannot deduct or compensate amounts that are or will be owed to him under a claim made by the supplier against him.
- The supplier is authorized to adjust prices adequately after the conclusion of the contract in the event that production costs increase or decrease, in particular in the event of changes in labour costs due to the conclusion of the contract conventions or changes in the price of production materials. The relevant changes will be presented to the buyer.
Terms of delivery
- The supplier will choose the means of delivery and will organize the transport to the customer's site.
- At the discretion of the supplier, delivery of the goods sold to the purchaser may be staggered on two or more deliveries; in such a case, each delivery shall be deemed to be part of a separate contract and the absence or non-conformity of a delivery shall not constitute a breach of contract with respect to other deliveries.
- The delivery dates mentioned in the contract are only an estimate and have no binding effect. In the event that the Supplier does not deliver the goods on the above-mentioned date, such breach shall not constitute a breach of the Contract and the Buyer shall not be entitled to claim compensation for such damage or consequential indirect losses or damages.
- The supplier reserves the right to modify, supplement or discontinue its product offerings at any time without notice.
- The buyer may cancel his orders (except for customised products) before the date of shipment.

The amounts of the delivery costs are invoiced in addition to the prices indicated on the site, indicated in your basket.

Property title
Deed of the goods will be transferred to the buyer at the time of shipment.
Inspection / Acceptance
- At the time of delivery, any damage or defect noticed in terms of the quantity or quality of the goods must be reported immediately in detail on the carrier's slip.
- When unpacking and handling the product, any damage or defect noticed in terms of the quantity or quality of the goods must be reported to the supplier in writing within five (5) days of delivery. The goods will be definitively considered as having been checked and accepted by the buyer five (5) days after receipt.
- The buyer's only recourse in case of refusal of the goods is the replacement or repair of defective goods (at the discretion of the supplier).
- The purchaser may return the goods in the following cases :
- The goods have not been manufactured according to specifications or have been damaged during transport (slip to communicate with the remarks made to the carrier).
- The goods returned to the supplier have not been used and are in good condition, are packed in their original packaging and returned within 30 (thirty) days after delivery, with a return voucher (item of the delivery note accompanying the Goods) after acceptance by our customer service.
- No credit will be granted by the supplier for the delivery, port and transit charges levied by the supplier or incurred by the purchaser.
- Customized products cannot be returned (except in case of shipping damage).
Garantee
- All our products are covered by a 5-year warranty, subject to normal use and in accordance with the expected use.
- The supplier commits itself to reimbursing or exchanging, at the option of the Buyer, the faulty products. The request must be made within five (5) working days from the date of delivery of the order.
- We accept the return of products provided that these are not products customized or manufactured specially to the request of the customer.
- The return of these goods must be made within a maximum of 30 days from receipt of the goods. The costs of packaging and transport related to return are the responsibility of the customer.
- The guarantee excludes the consequences of normal wear and tear of the product, or the consequences of abnormal use or lack of maintenance.
- In accordance with Belgian consumer law, the Purchaser has seven (7) working days from the date of delivery of his order, to exercise his right of withdrawal without having to justify reasons or pay Penalties, with the exception of return costs. The product must imperatively be returned properly protected in its packaging and in its original state, accompanied by any accessories, instructions for use and documentation. The product must not have been used or have suffered any deterioration, however minimal it may be and must be in a perfect state of cleanliness. The supplier will reimburse the Buyer as soon as possible and at the latest within thirty (30) days following the date of withdrawal. Reimbursement will be made to the billing address registered at the time of placing of order by the Purchaser. The right of withdrawal does not concern the products possibly customized or made according to the specifications of the Buyer.
Limitation of Liability
- The Supplier shall in no event be liable for indirect, special or consequential damages whether or not the damage has been notified, foreseeable or unforeseeable, whether based on the loss of profits from resale, Business opportunities, loss of anticipated savings, loss of reputation, deprivation of enjoyment of money, stoppage of work, depreciation of other assets or otherwise, whether as a result of a breach of warranty , Breach of contract, strict liability in tort, negligence, inaccurate assertion or otherwise, except where the law in force imposes such liability.
- The Supplier's aggregate liability for all claims, liabilities, expenses and any other damages or remedies arising out of this Agreement (collectively referred to as "Claims"), whether such claims are based on contract, negligence or Other damage, strict liability, warranty, indemnity or other liability, shall in no event exceed the amount paid by the purchaser to the supplier for the goods in connection with the transaction on which the goods are based These general conditions.
Data protection
- Each party shall comply with its respective obligations under applicable data protection laws, in particular with respect to personal data (under applicable law) that it processes to fulfil its obligations under this contract.
- Without prejudice to the generality of Section 14.1, the purchaser shall take sufficient technical and organizational measures to prevent unauthorized or illegal processing of personal data and to prevent loss, destruction or unauthorized disclosure of personal data.
Force majeure
The Supplier shall not be liable for any breach of its obligations under this Agreement whose circumstances are beyond its reasonable control, also where such circumstances arise with our suppliers, including but not limited to acts or omissions of/by Government or military agencies, acts of terrorism, force majeure, material shortages, transport delays, fires, floods, labour disputes, riots or wars.
General information
In the event of breach by Buyer, breach of any of these Terms and Conditions by the Purchaser, or if Buyer is no longer able to carry on its usual commercial activities (including, but not limited to inability to fulfil its obligations at maturity), or if the purchaser is the subject of proceedings under bankruptcy law or criminal legislation, ceases operation or makes a deed of transfer to the benefit of creditors, the supplier shall have the right to cancel or terminate immediately all agreements without any obligation to the buyer with respect to the sale of the goods, in whole or in part, which may result in absence of dispatch or cancellation of the buyer's pending or future order (s) and / or the termination of the relationship between buyer and supplier, obtain damages for breach by Buyer, and Claim immediately the payment of the balances due.
All recourses under these terms and conditions shall be cumulative, not alternative or exclusive, and shall be in addition to all other rights and recourses provided for under the applicable law. The exercise or non-exercise of a right of recourse by the supplier shall not prevent its exercise or other recourses under these terms and conditions.
The Parties to these terms and conditions are independent contractors and no provision of these terms and conditions shall be construed as placing the parties in an employer's and employee's, principal, and proxy's or joint ventures' relationship. No party shall have the power to bind or oblige the other party.
These terms and conditions and the transactions contemplated herein shall be governed by and construed in accordance with the laws of the jurisdiction in which the order is delivered.
